Who needs to register with SEC Nigeria?
Any company or individual that engages in dealing in securities or providing services in relation to securities in Nigeria must register with the Securities and Exchange Commission (SEC). All CMOs previously registered under ISA 2007 remain valid but must comply with ISA 2025 requirements, including meeting revised minimum capital by 30 June 2027.

Key Registration Requirements for All CMOs
- Nigerian incorporation with M&A expressly including your capital market activities
- Minimum paid-up capital meeting SEC’s requirement for your specific operator category
- Fidelity Indemnity Insurance covering at least 20% of minimum capital, valid through 31 December
- Sponsored individuals — minimum 3–4 registered with SEC, including Compliance Officer and MD
- Fit and proper directors and management — education, relevant experience, integrity, financial history
- SEC pre-registration training and examination — mandatory for all prospective sponsored individuals, held quarterly
- Three-year business plan with financial projections and operational strategy
- Audited accounts not more than 30 days old at time of filing

Complete SEC Pre-Registration Training and Examination
All sponsored individuals must complete mandatory SEC training at the Nigerian Capital Market Institute (NCMI) and pass the examination. Check the SEC website for the quarterly examination schedule — registration opens approximately 6 weeks before each date.
Prepare Your Full Application Package
Compile: SEC Forms 2 and 2D for each sponsored individual and director, certified CAC documents, audited accounts, business plan, IT and compliance policies, fidelity indemnity insurance policy, bank statements for the past 6 months, and company website and social media details.
Submit Application to SEC Nigeria
